Regardless of outcome, litigation and other legal and administrative proceedings can have an adverse impact on us because of defense and settlement costs, diversion of management resources and other factors. We are currently not a party to any legal proceedings, the outcome of which, if determined adversely to us, would individually or in the aggregate have a material adverse effect on our business, financial condition, and results of operations.

Item 9A · ICFR · ​ Based on our evaluation and our Chief Executive Officer and Chief Financial Officer assessment over the effectiveness of our internal control over financial reporting as of December 31, 2024, and we determined that our internal control over financial reporting was not effective as of December 31, 2024 at a reasonable assurance level due to the material weaknesses related to the inadequate design and operation of management’s review controls over valuation reports prepared by third-party specialists in conjunction with the accounting for certain debt and equity instruments.
