When are 13F filings due?

45 days after the end of each calendar quarter. That is 15 May, 14 August, 14 November and 14 February.

When the 45th day lands on a weekend or a federal holiday the deadline moves to the next business day.

Who files one

An institutional investment manager that exercised investment discretion over $100 million or more in Section 13(f) securities on the last trading day of any month in a calendar year must file Form 13F for each quarter of the following year (SEC Rule 13f-1). "Section 13(f) securities" is a defined list the SEC republishes every quarter — broadly, exchange-traded US equities plus some equity options, warrants and convertibles.

What the deadline does not mean

  • It is not the trade date. A 13F reports positions held on the quarter-end date. The newest filing available is a snapshot up to 45 days old, never live positioning.
  • It is not the whole book. Short positions, cash, most derivatives and non-US listings are not reportable, so a 13F is the long, US-listed slice and nothing more.
  • It is not final. A manager may amend a filing at any time. We keep the latest filing per manager and quarter, so a refiled report never double-counts.
